Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Paychainly platform, including our API, dashboard, payment links, webhook infrastructure, and all related services (collectively, the "Service") provided by Paychainly ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or your organization. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

The Service is not available to persons located in jurisdictions where the receipt of cryptocurrency payments or the operation of a crypto payment platform is prohibited by applicable law.

2. Account Registration & Security

To access the Service, you must register for an account by providing accurate, complete, and up-to-date information. You are responsible for:

  • Maintaining the confidentiality of your account credentials, API keys, and webhook secrets.
  • All activity that occurs under your account, whether or not authorized by you.
  • Notifying us immediately at security@paychainly.com if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised, are being used fraudulently, or are in violation of these Terms.

3. API Keys & Access

Upon registration, you may generate API keys to authenticate requests to the Paychainly API. API keys carry the same privileges as your account. You must:

  • Keep API keys secret and not embed them in publicly accessible code repositories or client-side code.
  • Rotate keys immediately if they are exposed or suspected of being compromised.
  • Use separate API keys for production and sandbox environments.

We are not responsible for any loss arising from unauthorized use of your API keys.

4. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to process payments related to illegal goods, services, or activities, including but not limited to gambling, controlled substances, weapons, or fraudulent schemes.
  • Use the Service to facilitate money laundering, terrorist financing, or any other financial crime.
  • Attempt to circumvent rate limits, abuse the API in a manner that degrades service for other users, or conduct denial-of-service attacks.
  • Reverse-engineer, decompile, or attempt to derive the source code of the Paychainly platform.
  • Resell or sublicense access to the Service without our express written consent.
  • Use the Service to impersonate another person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to investigate suspected violations and to take appropriate action, including immediate termination of your account and reporting to law enforcement.

5. Payment Processing & Non-Custodial Architecture

Paychainly is a non-custodial payment infrastructure provider. This means:

  • We do not hold your funds. Deposit addresses are derived from your HD wallet (BIP-44). Only you hold the master seed and the ability to access the master wallet.
  • Sweep transactions move funds from deposit addresses to your configured master wallet address. The sweep is initiated by us but the funds are transferred to an address you control.
  • We are not responsible for funds lost due to you providing an incorrect master wallet address, losing access to your master wallet, or blockchain network errors beyond our control.

All transactions occur on BNB Smart Chain (BSC, chain ID 56 for production; chain ID 97 for sandbox) and are subject to the rules of that blockchain network.

6. Fees & Settlement

Paychainly charges the following fees, automatically deducted from swept funds:

  • Platform fee: A per-transaction fee as configured in your account settings (default: 0.5 USDT per sweep).
  • Gas reimbursement: A fixed amount to cover the BNB used for the sweep transaction (default: 0.2 USDT equivalent).
  • Network fees: BNB gas costs for on-chain transactions. These are paid by our gas wallet and reimbursed via the gas fee deduction.

Fee parameters may be adjusted at any time by us. We will provide at least 14 days' notice of material fee changes via email or in-platform notification. Enterprise accounts may negotiate custom fee structures by contacting sales@paychainly.com.

We do not charge monthly subscription fees. You only pay per-transaction fees when deposits are swept.

7. Webhooks & Notifications

You may configure webhook endpoints to receive real-time notifications of payment events. All webhook payloads are signed with HMAC-SHA256 using your webhook secret. You are responsible for verifying the signature on every received webhook before acting on the payload.

We make reasonable efforts to deliver webhooks reliably, including automatic retries with exponential backoff. However, we do not guarantee delivery. You should implement idempotent webhook handlers using the txHash field as the idempotency key.

8. Intellectual Property

All rights, title, and interest in and to the Service, including all software, documentation, trademarks, logos, and other content provided by Paychainly, are and remain the exclusive property of Paychainly and its licensors.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for the purposes described in these Terms. Nothing in these Terms grants you ownership of any Paychainly intellectual property.

By providing feedback, suggestions, or ideas about the Service, you grant us an irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

10. Disclaimers & No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PAYCHAINLY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) any transaction will be confirmed on-chain within a specific timeframe; (c) the blockchain network will function as expected; or (d) any bugs or errors will be corrected.

Cryptocurrency transactions are irreversible. We are not responsible for losses arising from incorrect wallet addresses, market volatility, or blockchain congestion.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAYCHAINLY AND ITS OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF FUNDS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL PAYCHAINLY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF: (a) THE TOTAL FEES PAID BY YOU TO PAYCHAINLY IN THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (b) ONE HUNDRED US DOLLARS ($100).

12. Indemnification

You agree to defend, indemnify, and hold harmless Paychainly and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content or data you submit through the Service.

13. Termination

You may terminate your account at any time by contacting us at support@paychainly.com. Upon termination, your right to use the Service will immediately cease.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, for any reason including but not limited to: violation of these Terms, suspected fraud, or if we are required to do so by law. We will make reasonable efforts to provide advance notice where possible.

Upon termination, any outstanding sweep jobs will be completed for deposits already confirmed on-chain. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 8, 10, 11, 12, 14, and 15.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or via a prominent notice within the Paychainly dashboard. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

If you do not agree to the revised Terms, you must stop using the Service and may request account deletion by contacting us.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration in accordance with applicable arbitration rules.

Before initiating any formal proceeding, you agree to first contact us at legal@paychainly.com and provide a written description of the dispute. We will make reasonable good-faith efforts to resolve the dispute informally within 30 days.

EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL OR CLASS ACTION LAWSUIT.

16. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Paychainly regarding the Service.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
